Terms of Service

1. Service Description

PermitIQ Fleet ("the Service") is a fleet compliance management platform that provides tools for tracking permit filings, document management, expiration alerts, and related compliance utilities. The Service is designed to assist Motor Carriers in organizing and monitoring their compliance obligations.

2. User Responsibilities

By using the Service, you acknowledge and agree that:

• PermitIQ Fleet is a secondary tracking and management tool. The Motor Carrier retains sole and ultimate responsibility for ensuring compliance with all applicable federal, state, and local regulations, including but not limited to FMCSA regulations, IFTA, IRP, UCR, and DOT requirements.
• You are responsible for verifying the accuracy of all data entered into the Service, including but not limited to filing dates, expiration dates, vehicle information, and driver qualification records.
• Alerts, reminders, and notifications provided by the Service are offered as a convenience and do not replace your obligation to independently track and verify compliance deadlines.
• AI-powered features (including document OCR and date extraction) are automated tools that may produce inaccurate results. You must verify all AI-extracted data before relying on it for compliance decisions.
• Weight calculations provided by the Load/Axle Calculator are based on the Federal Interstate Bridge Gross Weight Formula. State-specific exemptions, local bridge laws, and special permit allowances may apply. You must verify weight compliance with current state DOT regulations before loading and operating vehicles.

3. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO AI-GENERATED DATA EXTRACTIONS, COMPLIANCE CALCULATIONS, AND ALERT NOTIFICATIONS.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL PERMITIQ FLEET, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OUT-OF-SERVICE PENALTIES, FINES, OR CITATIONS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
• OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM MISSED ALERTS, FAILED NOTIFICATIONS, INCORRECT DATA EXTRACTIONS, OR CALCULATION ERRORS PROVIDED BY THE SERVICE.

5. Filing Services

The Service may offer optional "File For Me" compliance filing services performed by third-party compliance agencies. When you request a filing service, you authorize us to share the relevant filing information with the designated compliance agency. While we work with qualified professionals, we do not guarantee the accuracy or timeliness of third-party filings. You remain ultimately responsible for verifying that all filings have been submitted correctly and on time.

6. Data and Privacy

Your data is stored securely using industry-standard encryption and access controls. We do not sell your data to third parties. Documents uploaded to the Service are stored in encrypted cloud storage and are accessible only to authorized users within your organization. AI processing of documents is performed on a per-request basis; we do not retain document images after processing is complete. For full details, see our Privacy Policy.

7. Subscription and Payment

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as required by applicable law. We reserve the right to change subscription pricing with 30 days advance notice. Free trial periods, if offered, will automatically convert to a paid subscription at the end of the trial period unless cancelled.

8. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked and your data will be retained for 30 days, after which it may be permanently deleted. You may export your data at any time prior to termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
